Problems with a NoIndex NoFollow Site

For legal reasons my website is going to launch non-branded websites. We do not have the capacity to make these site sufficiently unique from the main site so we are planning on having them be NoIndex NoFollow.
Are there any potential SEO problems here?
What will the implication be if in ~1-2 years from launching the NoIndex NoFollow we make the site unique, take away the tag and want to start promoting these sites organically.

It has to be noindex because our development team does not have the capacity to make these websites unique structure/template from our main site.
For example - the main site is www.red.com and the new site will be www.blue.com and the only way to launch www.blue.com is to have it basically be the same site as www.red.com (and it needs to be launched now for legal reasons).
We are also launching localized versions of our website such as www.red.co.uk and are planning on using the canonical tag for these sites. However, I thought that for the sites with a different URL we could risk having Google see us as a Network since the content will be so similar and traffic flowing in both directions - and this is something important to avoid so in order to use the completely new sites they need to be separate in terms of content, ip, hosting, etc... (and have traffic only flow in one direction).

Firstly, why add the no follow tag - let the pages be followed - so if you link back to your parent site, some link juice may flow.
Secondly, I agree with Nigel about the canonical tag. In terms of robots, the no index tag is more effective than blocking the site in robots.txt. You can also implement the no index tag via the http status responses in apache using your .htaccess file - see here for more info
This way you can control this site wide from one location and also it won't be as apparent to anyone who looks at the code of the nonbranded site that it shouldn't be indexed.

If the non branded website is identical to the main website then you could use the canonical tag.This way Google would pass the seo benefit onto the main website.
You could also ensure the robots.txt is used to stop the search engine bots. For more info on this look in your google webmaster tool.

_I d not think it would be an issue if your website has unique content even after 1 year. You can then use “Fetch As Google Bot” to speed up the indexing thing [unless Google introduces something else in the meantime]. _

Consolidate Local sites to one larger site
I am a partner in a real estate company that operates in 10 different markets across the country. Each of these markets has it's own individual domain. My question is should we consolidate each of these markets into one domain that services all markets? What would we possibly gain or lose from an organic traffic standpoint? In some of our more established markets (Indianapolis, Las Vegas, Tampa, Orlando and Charlotte) our organic traffic accounts for 50-60% of our total traffic. In some of our newer markets (Denver, Phoenix, San Diego) it accounts for less than 15%. We do operate under two different brand names. EasyStreet Realty and Highgarden Real Estate. EasyStreet has been around since 2000 with most of our Highgarden sites only up for 6-24 months. Another question is we are considering converting all EasyStreet divisions to Highgarden. I am a little reluctant to do so, since most of our organic traffic is coming from our EasyStreet sites. Thoughts? Noindex Valuable duplicate content?
How could duplicate content be valuable and why question no indexing it? My new client has a clever african safari route builder that you can use to plan your safari. The result is 100's of pages that have different routes. Each page inevitably has overlapping content / destination descriptions. see link examples. To the point - I think it is foolish to noindex something like this. Should product searches (on site searches) be noindex?
We have a large new site that is suffering from a sitewide panda like penalty. The site has 200k pages indexed by Google. Lots of category and sub category page content and about 25% of the product pages have unique content hand written (vs the other pages using copied content). So it seems our site is labeled as thin. I'm wondering about using noindex paramaters for the internal site search. We have a canonical tag on search results pointing to domain.com/search/ (client thought that would help) but I'm wondering if we need to just no index all the product search results. Thoughts?

Site #2 beats site #1 in every aspect?
Hey guys, loving SEOMoz so far and will definitely continue my subscription after the free trial. I have a question however, which I am really confused about. When researching my primary keyword, I have found that the second ranked site beats the top site in every single aspect, apart from domain age, which is almost 6 years for the top one and 6 months for the second. When I say every single aspect, I mean everything. More authority for the page and domain, more links, more anchor text links, more authoritive links, more social signals, more relevant links, better domain (although second ranked site is a .net), better MozRank, better MozTrust etc.... I have noticed though, that in the UK SERPs, those sites are switched, so #2 is actually #1. Could it be that the US SERPs just haven't updated yet, or am I missing something completely different.

How to see which site Google views as a scraper site?
If we have content on our site that is found on another site, what is the best way to know which site Google views as the original source? If you search for a line of the content such as "xyz abc etc" and the other site shows before yours in search results, does that mean that Google views that site as the original source?
